Terms of Service

Welcome to Fluo. Fluo is a language-learning application that helps you learn languages by watching short videos with interactive subtitles, practicing vocabulary with spaced repetition, and using AI-powered practice sentences, translations, and a tutor. The Service is operated by Fluo Inc., a Delaware corporation with its principal office at 13109 Paloma Drive, Orlando, FL 32837, United States ("Fluo", "we", "us"). These Terms of Service ("Terms") govern your access to and use of the Fluo mobile and web applications, the fluolearning.com website, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy.


1. Acceptance of Terms and Eligibility

By tapping "Create account" or "Sign in", or otherwise accessing or using Fluo, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Service.

You must be at least 13 years old to use Fluo. If the law of your country sets a higher minimum age for agreeing to online services without a parent's consent (for example 16 in some European countries), you must be at least that age, or have your parent or legal guardian's consent. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly allow anyone below the minimum age to create an account, and we delete accounts we learn belong to someone below it.

2. License to Use the Application

Subject to your compliance with these Terms, Fluo grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the application on devices that you own or control, solely for your personal, non-commercial educational purposes.

You may not:

  • Copy, modify, or create derivative works of the application or of Fluo's own materials.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the application.
  • Distribute, sublicense, lease, lend, or rent the application to any third party.
  • Use any automated tools, bots, or scripts to access or collect content from the Service.
  • Remove, alter, or obscure any copyright, trademark, creator attribution, or other proprietary notice shown in the Service.

This license terminates automatically if you violate these Terms. Upon termination, you must cease all use of the application and delete all copies from your devices.

3. Third-Party Videos and Embedded Players

The videos you watch in Fluo are short videos made by independent creators and published on TikTok. Fluo plays them through TikTok's own official embedded player, which loads inside the app directly from TikTok. Fluo does not redistribute these videos and does not let you download them. Fluo keeps only a thumbnail image and a preview copy of each video, which are used for the previews and thumbnails on the home screen; watching a video always happens in TikTok's player. The creator and TikTok retain all rights in the videos. The creator's name and a link to the original post are always shown so that you can visit the creator on TikTok.

When an embedded player loads, the platform that operates it (for example TikTok) receives information such as your IP address and may set cookies or collect data under its own terms and privacy policy. Your use of an embedded player is also subject to that platform's terms of service. Fluo does not control third-party platforms and is not responsible for their content, availability, or practices. A video may become unavailable in Fluo at any time, for example if the creator removes it or the platform stops making it available.

If Fluo ever hosts and plays a video itself rather than through TikTok's player, it does so only under a written agreement with that video's creator, who keeps ownership and remains credited in the app.

Whether a video is embedded or hosted by Fluo, you may not:

  • Download, copy, or redistribute video content from the Service.
  • Screen-record, rip, or otherwise capture video content for use outside the Service.
  • Use any automated means to access or collect video content, subtitles, or other data from the Service.
  • Interfere with, hide, or misrepresent the creator or platform attribution shown with a video.

Fluo selects videos for their value to language learners. Inclusion of a video in Fluo does not mean that its creator or TikTok endorses Fluo, and it is not a statement about the creator. Fluo is not affiliated with TikTok.

4. Subtitles, Translations, and AI-Generated Content

The interactive subtitles in Fluo are generated automatically from a video's audio and on-screen text using automatic speech recognition, and are then translated and annotated by machine. Practice sentences, translations, word glosses, and tutor answers are generated by artificial-intelligence services. This content is provided for educational purposes only. Fluo does not guarantee that any subtitle, transcript, translation, gloss, or AI answer is accurate or complete, and you should not rely on it as a sole source of language instruction. Every video has a "Report" option for subtitle problems; we review reports and correct or remove content.

Fluo does not transcribe or translate song lyrics, and subtitles for a video are removed when the video is removed. The words spoken in a video belong to the people who made it; Fluo's own rights are limited to its software, its curriculum, and the glosses and study materials it creates.

AI-powered features (personalized sentences, on-demand translations, and the AI tutor) require you to opt in. When you use them, the text you submit and the vocabulary and learning data needed to personalize the result are sent to the AI providers listed in our Privacy Policy. Your name, email, and account credentials are never sent to an AI provider. You can turn AI features on or off at any time in the app's Profile settings, and you can keep using Fluo's existing sentence library without them.

5. Your Content

The Service may let you post feedback, comments, subtitle reports, or other text, and may let you add your own video from your device for your personal study. You keep ownership of anything you submit. You grant Fluo a non-exclusive, worldwide, royalty-free license to host, process, display, and use your submissions in order to operate and improve the Service, including generating subtitles for a video you add. If you make something you submit visible to other users, you also grant those users the right to view it within the Service.

You are responsible for what you submit. You confirm that you own or have the right to share it, that it does not infringe anyone's copyright, trademark, privacy, or other rights, and that it complies with Section 7. Fluo may remove any submission at any time.

6. Subscriptions and Payments

Fluo offers a free tier and may offer a paid subscription ("Fluo Premium"). Subscriptions are billed through the platform's in-app purchase system (Apple App Store or Google Play). By subscribing, you agree to the applicable platform's payment terms, including:

  • Payment is charged to your platform account at confirmation of purchase.
  • Subscriptions automatically renew at the price shown at purchase unless auto-renew is turned off at least 24 hours before the end of the current period.
  • Your account will be charged for renewal within 24 hours before the end of the current period.
  • You can manage and cancel subscriptions in your device's account settings; cancellation takes effect at the end of the current period.

The price, billing period, and renewal terms are shown before you confirm a purchase. Refunds are handled by the platform under its policies. Where the law gives you a right to withdraw from a purchase of digital content, you acknowledge that access to premium features begins immediately at your request.

7. Community Standards, Reporting, and Zero-Tolerance Policy

Fluo is an educational service. The following content is prohibited anywhere on the Service, whether in a video, a subtitle, a feedback post, or any other submission:

  • Hate speech, threats of violence, or content promoting discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or nationality.
  • Harassment, bullying, or intimidation of any individual or group.
  • Sexually explicit or pornographic material.
  • Content depicting or promoting illegal activities, violence, or self-harm.
  • Spam, misleading content, or material designed to deceive other users.
  • Malware, viruses, or any content intended to harm the Service or its users.
  • Content that violates the privacy of others, including personal information shared without consent.

Zero tolerance: we do not allow the content described above, and we do not allow users or creators who repeatedly or seriously violate these standards.

How to report: every video has an in-app "Report" option, including a reason for copyright concerns and for subtitle problems. You can also report objectionable content or abusive behavior by emailing [email protected]. Fluo reviews reports and acts on violating content within 24 hours, including removing the content from the Service and, where a user or creator provided it, suspending or terminating their account.

Blocking creators: you can block creators whose videos you do not want to see. Once blocked, their videos no longer appear in your feed.

Fluo may remove any content and suspend or terminate any account, at its sole discretion, with or without notice, to enforce these standards.

8. Copyright and DMCA Policy

Fluo respects the intellectual property rights of others. Our full policy, including how to send a takedown notice for a video, a subtitle, or any other content in the Service, how to send a counter-notice, and our repeat-infringer policy, is on our Copyright & DMCA Policy page.

Takedown notices go to Fluo's designated agent, registered with the U.S. Copyright Office: Copyright Agent, Fluo Inc., 13109 Paloma Drive, Orlando, FL 32837, United States, phone (407) 363-0173, [email protected] (please put "DMCA Takedown Notice" in the subject line). For a video that plays through a third-party platform's embedded player, you may also notify that platform directly; Fluo will still remove the video from the Service on receipt of a valid notice. Fluo terminates the accounts of users and creators who are the subject of repeated valid infringement complaints.

9. Third-Party Services

The Service relies on third-party services, including the video platforms whose embedded players it uses, AI providers, analytics, payment, and authentication services. These services are subject to their own terms and privacy policies. Fluo is not responsible for the availability, accuracy, or content of any third-party service. You must comply with applicable third-party terms when using the Service, including the terms of the platform whose player is displaying a video and the terms of your wireless data service.

10. Data Collection and Privacy

Fluo collects account, learning, device, and usage data as described in our Privacy Policy. Some of this data identifies you (for example your email address and your learning progress). The Privacy Policy explains what is collected, the analytics we use, your rights, and how to delete your account and data.

11. Maintenance and Support

Fluo is solely responsible for providing maintenance and support for the application. You may contact us at the address listed below for any support requests. Platform providers (such as Apple or Google) have no obligation to furnish any maintenance or support services with respect to the application.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FLUO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT ANY THIRD-PARTY VIDEO WILL REMAIN AVAILABLE.

Fluo does not guarantee the accuracy, completeness, or reliability of any subtitles, transcriptions, translations, AI-generated sentences, tutor answers, or other language-learning content generated by the Service.

In the event the application fails to conform to any applicable warranty, you may notify the applicable platform provider (e.g., Apple), and they may refund the purchase price (if any) for the application. To the maximum extent permitted by applicable law, the platform provider has no other warranty obligation with respect to the application. All other warranty claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are Fluo's sole responsibility.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLUO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF FLUO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FLUO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO FLUO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded or limited under applicable law. If you are a consumer in the European Economic Area, the United Kingdom, or another jurisdiction with mandatory consumer-protection law, nothing in these Terms affects the rights you have under that law.

14. Product Claims

Fluo is solely responsible for addressing any claims relating to the application or your possession and use of it, including but not limited to: (a) product liability claims; (b) any claim that the application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

15. Export Compliance

You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties. You agree not to use or export the application except as authorized by United States law and the laws of the jurisdiction in which the application was obtained.

16. Termination

Fluo reserves the right, at its sole discretion and without prior notice, to:

  • Remove, disable, or restrict access to any content that violates these Terms or that we otherwise find objectionable.
  • Suspend or terminate your account and license for any reason, including but not limited to violations of these Terms.
  • Modify or discontinue the Service (or any part of it) at any time.

Your license to use the application terminates automatically upon any violation of these Terms. Upon termination, you must cease all use of the application and destroy all copies in your possession. You can end these Terms at any time by deleting your account in the app or through our account deletion page.

17. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will revise the "Last updated" date at the top of this page. If the changes are material, we will notify you through the app or by email and, where required, ask you to accept the revised Terms before you continue. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country where you live.

19. Apple App Store Additional Terms

If you downloaded or purchased the application from the Apple App Store, the following additional terms apply:

  • These Terms are between you and Fluo only, not with Apple Inc. ("Apple"). Apple is not responsible for the application or its content.
  • Your license to use the application is limited to a non-transferable license to use the application on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
  • Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the application.
  • Apple is not responsible for addressing any claims by you or any third party relating to the application or your possession and use of it, including but not limited to product liability claims, any claim that the application fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
  • In the event of any third-party claim that the application or your possession and use of it infringes that third party's intellectual property rights, Fluo, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
